Service Contract Support - Russian equity investment manager. Established offering documents, administration relationship, banking and custody arrangements (USA / Russia). Provide operational support with securities clearing; liaise with counsel, administrator and banks for the investment manager.
Engagement with BVI fund - Performed daily net asset value and fund administration through Bahamas service provider on US equity / options fund-of-funds. Provided interim service where records were not properly maintained by a prior service provider- reconstructed all accounting records for 15 months, monitored trading activity and cash reconciliation.
Engagement with the manager of a French high net worth family office - Assist with location of service providers and the establishment of corporate entities. developing software applications for tracking and analytics. Provided position
Engagement with a large CDO - Managed the in-source back office operations from third party providers. This included developing software applications for tracking and analytics. Provided position reconciliation, daily reporting and net asset calculation until this was fully integrated into the companies operations.
Service Contract Support - PIPE (Private Investments in Public Equity) manager - Provided training and interim back office operations until the manager could independently operate. Worked with third party IT specialist to create and implement management information system (hardware and software).
Service Contract Support - PIPE manager - Independent review of portfolio positions. Because the fund’s administrator had erred in its client reporting it was necessary to perform a comprehensive review of positions against administrator reports. Located discrepancies which enabled the manager to resolve and correct valuations.
Expert Witness - Engaged by a $2 billion fund-of-funds to provide analysis of proprietary middleware and accounting engine in connection with litigation against former employees who sought to take the fund-of-funds technology without compensation to a competitor. The litigation was settled favorably to the client.
Collateral Agent - Engaged as collateral agent responsible for structuring, monitoring and enforcing security agreements on syndicated senior-secured PIPE transactions.
Special Situations Support - Successfully managed the "work-out" of an $18 million loan to a condominium developer, including completion of construction, forecasting, sale of existing units, remediation of construction defects, and coordination of litigation.
Special Situations Support - Successfully coordinated the "work-out" of a $30 million loan to a diagnostic facility, including establishing the strategic plan, establishing revised loan terms, and completing field examinations.
Portfolio Due Diligence - Completed numerous asset-based portfolio acquisition due diligence engagements for other large funds and finance companies on transactions ranging from $5 million to over $80 million.
